Summary of the Procedural Requirements of the SENS

Note that this is a summary of the Procedural Requirements of SENS that are contained in Schedule 19 of the JSE Listings Requirements. Listed companies and their advisors should refer to Schedule 19 and not rely on this summary, which is simply intended to provide a background on SENS.

Introduction

As a result of a need to disseminate company announcements and price sensitive company releases ("relevant company information") to the market on a real time basis, the Issuer Services Division of the JSE has established SENS. SENS operational hours will be from 07h00 to 18h00 on business days

Submission of relevant company information

All relevant company information should be transmitted to SENS via e-mail, SENS@jse.co.za, or electronically via the JSE website, www.jse.co.za, as soon as possible after authorization by the company.
All company announcements and price sensitive company releases, must be submitted to SENS through a sponsor. To prevent a delay in publication via SENS, submissions should conform with the specifications contained in the Procedural Requirements of SENS.

Authentication of submissions

Relevant company information received by SENS
  • during the SENS operational hours (see 1 above), will immediately be authenticated by SENS (to ensure that the information is authorised to be published by the company); and
  • outside the SENS operational hours, will be authenticated as soon as possible during the following SENS operational hours.

Approval of certain submissions

If the relevant company information requires JSE approval, it will be forwarded immediately to the Issuer Services Division for consideration.

Publication through SENS

Relevant company information will be published via SENS immediately after it has been authenticated and approved (if necessary).
Publication via SENS will take place by SENS electronically transmitting the relevant company information to SENS subscribers, which include the major wire services, who will immediately disseminate such information to their customers.

Publication on other markets

Companies with dual listings or their sponsors should liaise with SENS with a view to ensuring, as far as possible, that the same information is released at the same time on the respective markets.

Publication in the press of certain company announcements

Despite publication via SENS, all listed company announcements requiring JSE approval must be published in the press as soon as possible after they have been authenticated and approved.

Although the JSE will endeavour to ensure that the relevant company information submitted to SENS is published via SENS in the form submitted, the JSE does not, whether expressly, tacitly or implicitly, represent, warrant or in any way guarantee the truth, accuracy, or completeness of the information published on SENS. The JSE, their officers, employees and agents accept no liability for (or in respect of) any direct, indirect, incidental or consequential loss or damage of any kind of nature, howsoever arising, from the use of SENS or the use of, or reliance on, information disseminated through SENS.
