Issuer Regulation Covid-19

The outbreak of the covid-19 pandemic and subsequent national lockdown in South Africa has introduced business continuity challenges to many issuers.  The JSE appreciates that the impact on businesses has been varying and the JSE has been in constant engagement with issuers and sponsors on a case by case basis to find solutions to ensure that 

• issuers disseminate company relevant information, including price sensitive information,
   through SENS; and 
• there are open and consistent lines of communication between (i) sponsors and issuers and
   (ii) sponsors and the JSE. 

As the JSE remains open for trading during covid-19 by enabling price transparency, trading out of positions and providing access to capital, enhanced disclosure for the protection of both investors is paramount as we tackle these unprecedented times. 

Below is all JSE covid-19 related guidance notes and market notices.

  • July 2020 - The JSE issued a further  letter to the market dealing with a general extension of financial reporting periods.  Please see the attached the  FSCA third market notice and FSCA communication.

  • June 2020 – The JSE issued a letter to the market dealing with a 2 month extension for REITs to make this distribution payments. Please see the attached market notice and FSCA communication

  • June 2020 - The JSE issued a further letter to the market dealing with a general extension of financial reporting periods.  Please see the attached FSCA second market notice.

  • May 2020 – The JSE issued a letter on written resolutions for issue of shares for cash resolutions by Main Board listed issuers. Please refer to the FSCA Market Notice.

  • May 2020 - The JSE issued a letter reminding property entities of their disclosure obligations if they defer distributions. 

  • May 2020 - The JSE issued a letter for issuers to remind them of their obligations to they give full disclosure of the impact of COVID-19 in their financial results. 

  • April 2020 – The JSE issued a letter to the market dealing with the announcement of share repurchases.  

  • April 2020 – The JSE issued a letter drawing attention to various resources that can assist issuers with their final reporting obligations under the COVID-19 environment.
